1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of the document creation tools, AI-assisted features, and related services ("Document Builder Services") provided through BizDealRoom.com ("Platform", "we", "us", or "our").

By accessing or using our Document Builder Services to create pitch decks, business information memoranda, property information memoranda, financial models, calculators, or any other investment-related documentation ("Generated Documents"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are creating documents on behalf of a company, partnership, trust, or other entity, you represent and warrant that you have the authority to bind that entity and its directors, officers, and stakeholders to these Terms.

2. Nature of Our Services

2.1 Tools and Assistance Only

BizDealRoom provides document creation tools, templates, AI-assisted content generation, calculators, and related features designed to help you prepare professional investment documentation. These tools are provided solely to facilitate and streamline your document preparation process.

2.2 What We Do NOT Provide

Our Document Builder Services do not constitute and should not be construed as:

• Financial advice or financial product advice
• Legal advice or legal services
• Accounting, tax, or audit services
• Investment recommendations or endorsements
• Valuation services or independent verification
• Due diligence or fact-checking services
• Brokerage, dealing, or financial intermediary services

2.3 AI-Assisted Features

Our Platform utilises artificial intelligence to assist with content generation, calculations, and document formatting. You acknowledge that:

• AI-generated content requires human review and verification
• AI may produce errors, inaccuracies, or inappropriate suggestions
• AI cannot verify the accuracy of information you provide
• AI-generated financial calculations must be independently verified
• You are solely responsible for reviewing, editing, and approving all AI-assisted content before use

3. Your Responsibilities

3.1 Information Accuracy

You are solely and exclusively responsible for:

• The accuracy, completeness, and truthfulness of all information entered into the Platform
• All content, data, figures, projections, and statements contained in your Generated Documents
• Ensuring all financial information accurately reflects your business's financial position
• Verifying all calculations, projections, and financial models
• Ensuring no misleading or deceptive statements are included
• Compliance with all applicable laws regarding disclosure and representations to investors

3.2 Professional Verification

• Qualified Accountants: To verify all financial statements, projections, valuations, tax implications, and financial calculations
• Licensed Legal Practitioners: To review all legal statements, compliance matters, disclosure requirements, and contractual terms
• Industry-Specific Experts: Where relevant, to verify technical claims, market data, and industry-specific information
• Registered Valuers: For any property-related documentation requiring formal valuations

3.3 Pre-Investment Verification

• Consult with qualified legal professionals regarding the structure, terms, and compliance of any proposed investment
• Consult with qualified accounting professionals regarding financial implications, tax consequences, and verification of all financial information
• Ensure all parties to any proposed transaction have had the opportunity to obtain independent professional advice
• Not rely solely on Generated Documents as the basis for any investment decision

4. Comprehensive Indemnification

4.1 Your Indemnification Obligations

4.2 Scope of Indemnification

This indemnification covers any and all:

• Claims, demands, actions, suits, or proceedings
• Losses, damages, costs, expenses, and liabilities
• Legal fees, professional fees, and costs of enforcement
• Penalties, fines, or regulatory sanctions
• Settlement amounts and judgments

Arising from or in connection with:

• Your use of the Document Builder Services
• The content of any Generated Documents
• Any inaccuracy, error, omission, or misrepresentation in your Generated Documents
• Any reliance by third parties on your Generated Documents
• Any breach of these Terms by you or parties acting on your behalf
• Any breach of applicable laws, regulations, or professional standards
• Any investment transactions undertaken in connection with your Generated Documents
• Any claims by investors, regulatory bodies, or other third parties

4.3 Survival of Indemnification

These indemnification obligations survive termination of your use of the Platform and remain in full force and effect regardless of any limitation period under applicable law, to the maximum extent permitted.

5. Limitation of Liability

5.1 No Warranties

The Document Builder Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

5.2 Exclusion of Liability

To the maximum extent permitted by law, the Indemnified Parties shall not be liable for any:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business, goodwill, or anticipated savings
• Loss of data or business interruption
• Investment losses or failed transactions
• Regulatory penalties or legal costs
• Third-party claims arising from your Generated Documents

5.3 Maximum Liability

If, notwithstanding the above, any Indemnified Party is found liable to you, such liability shall be limited to the lesser of:

• The fees paid by you for Document Builder Services in the twelve (12) months preceding the claim; or
• One hundred Australian dollars (AUD $100)

6. Regulatory Compliance

6.1 Your Compliance Obligations

You acknowledge and agree that:

• You are solely responsible for ensuring your Generated Documents and their distribution comply with all applicable laws and regulations
• This includes, without limitation, the Corporations Act 2001 (Cth), Australian Securities and Investments Commission (ASIC) requirements, and any other relevant legislation
• Requirements may include disclosure obligations, licensing requirements, and restrictions on offers to retail investors
• Different requirements may apply depending on the nature of your offer, the jurisdiction, and the type of investors you approach

6.2 Wholesale and Sophisticated Investor Requirements

If you intend to offer investments to wholesale investors or sophisticated investors, you are responsible for:

• Understanding the legal definitions and requirements for these investor categories
• Verifying that potential investors meet applicable qualification criteria
• Ensuring your offer documentation meets the specific requirements for exempt offers
• Maintaining appropriate records of investor qualification

6.3 No Regulatory Advice

BizDealRoom does not provide advice on regulatory compliance. You must obtain independent legal advice regarding your specific compliance obligations.

7. Intellectual Property

7.1 Platform Ownership

All intellectual property rights in the Platform, templates, AI systems, and underlying technology remain the exclusive property of BizDealRoom.

7.2 Your Content

You retain ownership of the original content and data you input into the Platform. By using our services, you grant us a limited licence to process your content for the purpose of providing the Document Builder Services.

7.3 Generated Documents

Subject to your compliance with these Terms and any applicable fees, you may use Generated Documents for their intended business purposes.

8. Data and Privacy

8.1 Information Collection

We collect and process information you provide through the Platform in accordance with our Privacy Policy.

8.2 Confidentiality

While we implement reasonable security measures, you acknowledge that:

• No system is completely secure
• You are responsible for maintaining the confidentiality of your account credentials
• You should not input information into the Platform that you are prohibited from sharing

9. Termination

We may suspend or terminate your access to Document Builder Services at any time, with or without cause, and with or without notice.

9.2 Effect of Termination

Upon termination:

• Your right to use Document Builder Services ceases immediately
• You remain bound by the indemnification and limitation of liability provisions
• We may delete your data in accordance with our data retention policies

10. General Provisions

10.1 Governing Law

These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland and any courts of appeal.

10.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

10.3 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BizDealRoom regarding Document Builder Services.
